1. Who We Are

"Formobi Solutions", "we", "us" or "our" refers to Formobi Solutions Private Limited, a company incorporated under the laws of India, with its registered office at Bengaluru, Karnataka, India. We own and operate GetGenius, an AI-powered Genius Intelligence Platform that enables businesses to create, train, and deploy AI-powered assistants ("Genius Associates") for customer engagement, sales automation, and support.

2. Scope of These Terms

These Terms of Service ("Terms") apply to your use of:

  • The GetGenius web application and API services
  • The embeddable chat widget and all related integrations
  • AI-powered Genius Associates created on the platform
  • Any other websites, dashboards, mobile applications, or tools we provide that link to these Terms

By accessing or using any of the above, you agree to be bound by these Terms. If you do not agree, you must not use the Services. These Terms constitute a legally binding agreement between you and Formobi Solutions Private Limited.

3. Accounts and Access

  • Eligibility. You confirm that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
  • Account information. You agree to provide accurate, current, and complete information during registration and to keep it updated.
  • Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized access.
  • Multi-tenancy. Each organization account is isolated. You may not access data belonging to other tenants.

4. Subscriptions, Billing & Refunds

GetGenius is a subscription-based service. Pricing, included features, and usage limits are described on our website or in your commercial agreement.

  • Free Trial. We may offer a free trial period. At the end of the trial, your subscription will begin automatically unless you cancel before the trial ends.
  • Billing. Subscriptions are billed in advance on a monthly or annual basis. Payment is processed through our payment partners (currently Razorpay for Indian payments and international cards).
  • Currency. Prices are listed in USD. For Indian customers, equivalent INR pricing applies. Exchange-rate differences and applicable taxes are your responsibility.
  • Non‑refundability. All fees paid for subscriptions, add‑ons, or AI usage credits are generally non‑refundable once billed, except where required by applicable law.
  • Refunds on a case‑by‑case basis. We understand exceptional situations occur. If you believe a charge should be reviewed, contact us at care@getgeni.us. We may, at our sole discretion, consider partial or full refunds. See our Refund & Cancellation Policy for details.
  • Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, duties, levies, or GST. Indian customers will be charged 18% GST.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, national, or international laws or regulations
  • Upload or transmit malicious code, spam, harmful, or illegal content
  • Attempt to gain unauthorized access to any systems, networks, or data
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or attempt to extract source code from our software
  • Use the AI Services to generate content that is defamatory, discriminatory, or violates third-party rights
  • Resell, sublicense, or redistribute access to the Services without our written consent

6. AI Services & Generated Content

About our AI features: GetGenius uses artificial intelligence technologies, including large language models (LLMs), to help you work more effectively. Like all AI systems today, these tools have limitations — here's what you should know.
  • AI output may not always be accurate. AI-generated responses, including those from Genius Associates, are designed to be helpful but may occasionally contain errors, outdated information, or inaccuracies. AI technology is rapidly evolving, and we're continuously working to improve response quality. We recommend reviewing AI-generated content before relying on it for important decisions.
  • Not a substitute for professional advice. AI output is intended as a productivity tool and should not be treated as legal, financial, medical, or other professional advice. For decisions with significant consequences, we encourage you to consult qualified professionals and verify AI-generated information independently.
  • You control how AI output is used. You decide how to use, edit, and apply AI-generated content. We encourage you to review and adapt AI output to your needs before publishing or acting on it. You are responsible for ensuring that your use of AI-generated content complies with applicable laws and your own quality standards.
  • Limitations of liability. Given the nature of AI technology, Formobi Solutions Private Limited does not warrant that AI-generated content will be error-free, complete, or suitable for any particular purpose. To the extent permitted by law, Formobi Solutions Private Limited is not liable for damages arising from reliance on AI-generated content without independent verification.
  • Third-party AI providers. Our Services integrate with leading AI providers, including Google (Gemini), Anthropic (Claude), OpenAI, and others. These providers develop and maintain the underlying AI models independently. As with any third-party service, model capabilities, performance, and availability may change over time. We select and monitor our AI partners carefully, but we cannot control their models' behaviour or guarantee specific outcomes.
  • Bring Your Own Key (BYOK). If you choose to connect your own API keys through our BYOK feature, your usage of those providers is governed by your direct agreement with them, including any associated costs. We facilitate the integration but are not a party to your arrangement with the AI provider.
  • Your training data. You retain full ownership of data you upload to train Genius Associates. We process this data only to provide the Services. Better training data generally leads to better AI responses — the quality of outputs is closely tied to the quality and completeness of the data you provide.
  • How your data is processed. When AI features are used, your queries may be processed by our third-party AI providers. These providers operate under data processing agreements that prohibit them from using your data to train their general models. We take your data privacy seriously and choose partners who share that commitment.

7. Data, Privacy & Security

You retain ownership of the data you and your users upload into GetGenius ("Customer Data"). We process and store this data solely to provide and improve the Services, as described in our Privacy Policy.

We implement enterprise-grade security measures including encryption in transit (TLS 1.2+) and at rest (AES-256), role-based access controls, tenant isolation, audit logging, and regular security reviews. For full details, see our Privacy Policy.

8. Intellectual Property

  • Our rights. All software, algorithms, content, logos, and branding for GetGenius and related services are owned by Formobi Solutions or our licensors and protected by intellectual property laws worldwide.
  • Your rights. Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable right to access and use the Services during your active subscription.
  • Feedback. If you provide suggestions or feedback about our Services, we may use such feedback without obligation to you.

9. Availability & Support

  • We aim to provide a reliable, enterprise‑grade service with high uptime, but occasional interruptions may occur due to maintenance, upgrades, or events beyond our control.
  • Planned maintenance is typically scheduled during off‑peak hours with advance notice where possible.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Formobi Solutions Private Limited and its directors, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities, however caused and regardless of the theory of liability. Our total aggregate liability arising out of or relating to the Services is limited to the fees you paid to us for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Formobi Solutions Private Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Term, Suspension & Termination

  • By you. You may stop using the Services or request closure of your account at any time by contacting us. Cancellation does not entitle you to a refund of fees already paid.
  • By us. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, misuse the Services, or if required by law.
  • Effect of termination. On termination, your access to the Services will cease. We may retain certain data for a reasonable period for backup, legal, compliance, or audit purposes, as described in our Privacy Policy.
  • Data export. You may request an export of your Customer Data before or within 30 days of termination.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

For users in the European Union, nothing in these Terms affects your rights under applicable consumer protection legislation in your country of residence. For users in other jurisdictions, local mandatory consumer protection laws may apply in addition to these Terms.

14. International Users

The Services are offered globally. By using the Services from outside India, you consent to the transfer, processing, and storage of your information in India and other countries where our service providers operate. We ensure appropriate safeguards are in place for international data transfers, including Standard Contractual Clauses (SCCs) where required. If you are located in the European Economic Area (EEA), United Kingdom, or other jurisdictions with data protection laws, please review our Privacy Policy for details on cross-border data transfers.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will take reasonable steps to notify you (e.g., via email or in‑app notice at least 30 days prior). Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Services.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
